    These Terms of Service ("Terms") govern your use of the services provided by Rox Vegas Cloud ("we", "us", or "our"), a digital agency based in New Braunfels, Texas and owned by Matthew Pusateri. By engaging our services, you agree to these Terms.

    1. Services Provided

    Rox Vegas Cloud provides the following services to small business clients:

    • Custom website design and development
    • CRM (Customer Relationship Management) setup and configuration
    • Marketing and workflow automation
    • Smart chat and AI voice assistant systems
    • Social media management
    • Search engine optimization (SEO)
    • Lead capture and funnel building

    2. Month-to-Month Service — No Contracts

    All monthly service plans are provided on a month-to-month basis. There are no long-term contracts or cancellation fees. You may cancel your monthly service at any time by notifying us in writing (email or text). Cancellation takes effect at the end of the current billing cycle. Setup fees are non-refundable.

    3. Payment Terms

    Setup Fee: A one-time setup fee is due before work begins. Work will not commence until the setup fee is paid in full.

    Monthly Fee: Your monthly service fee is billed on the same date each month, beginning on the date your service goes live or 31 days after setup fee payment, whichever comes first. Monthly fees are billed in advance.

    Late Payments: If a monthly payment is not received within 5 days of the due date, we may pause your services until payment is received. A $25 late fee may apply to payments more than 10 days overdue.

    Split Payments: Setup fee split payment options may be available upon request and are subject to approval.

    4. Client Content Ownership

    You retain full ownership of all content you provide to us, including text, images, logos, branding, and business information. Upon full payment of all fees, you also own the website, CRM configuration, and automation workflows we build for you. We will provide access credentials and transfer ownership of all accounts upon request.

    5. Portfolio Display Rights

    Rox Vegas Cloud may display your project in our portfolio, showcase, or marketing materials as proof of our work. We will not display your project publicly without your prior permission. You may request removal of your project from our portfolio at any time, and we will comply within 7 business days.

    6. Client Responsibilities

    To allow us to deliver our services, you agree to:

    • Provide accurate and timely information about your business
    • Provide access to necessary accounts (domain registrar, social media, etc.) when requested
    • Review and approve work within a reasonable timeframe
    • Respond to communication from our team within 5 business days
    • Ensure all content you provide does not infringe on third-party rights

    7. Revisions and Scope

    Each plan includes a defined scope of work. Reasonable revisions within the original scope are included. Significant changes to scope, additional features, or new projects beyond the agreed plan will be quoted separately.

    8. AI and Automation Systems

    Our AI voice assistant, chat systems, and automation tools are provided as supplementary services to enhance your business operations. While we strive for accuracy and reliability, AI systems may occasionally produce unexpected results. We are not liable for business losses resulting from AI-generated responses or automation errors. You should review and test all AI and automation workflows before deploying them to live customers.

    9. Limitation of Liability

    Rox Vegas Cloud is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising from our services is limited to the amount you have paid us in the 3 months preceding the claim.

    10. Termination

    Either party may terminate services with written notice. Upon termination, you are responsible for any outstanding fees. We will provide access to your content and accounts within 7 business days of final payment.

    11. Governing Law

    These Terms are governed by the laws of the State of Texas. Any disputes will be resolved in the courts of Comal County, Texas.

    12. Changes to These Terms

    We may update these Terms from time to time. Any changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the updated Terms.
